Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you" or "User") and Bizangle, LLC, a Florida limited liability company with its principal address at 1343 Main Street, Suite 705, Sarasota, FL 34236 ("Bizangle," "we," "us," or "our"). Bizangle is an affiliate of Phatlinks. These Terms govern your access to and use of Bizangle's websites, mobile applications (including the Bizangle iOS and Android applications), APIs, voice and messaging services, and any related products or services (collectively, the "Service").
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO THESE TERMS AND TO OUR PRIVACY POLICY AND ACCEPTABLE USE POLICY, WHICH ARE INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
ARBITRATION NOTICE. Section 18 of these Terms contains a binding arbitration agreement and a class-action waiver. Unless you opt out as described in Section 18.8, you and Bizangle agree to resolve disputes by individual binding arbitration and to waive the right to a jury trial or to participate in a class action.
1. Eligibility and Account
1.1 Age. You must be at least 18 years old and able to form a binding contract under applicable law. The Service is not directed to children under 13, and we do not knowingly collect information from children under 13.
1.2 Authority. If you use the Service on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you personally and the entity.
1.3 Account Registration. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@bizangle.com if you suspect unauthorized access.
1.4 One Account. You may not maintain more than one free-tier account without our prior written consent.
2. Description of the Service
The Service provides AI-powered voice, SMS, email, calendar, and business-management tools, including but not limited to:
- AI voice agents that answer, screen, transfer, and take messages on inbound phone calls;
- AI assistants accessible via a mobile app and web dashboard for business operations, scheduling, communications, and data lookups;
- SMS auto-reply, campaign, and escalation features;
- Integrations with third-party services such as Stripe, Google (Calendar, Gmail), ElevenLabs, Groq, VoIP.ms, and others;
- A knowledge base where you may upload documents, crawl your website, or store business context for AI agents to reference.
The Service is provided on an "as is" basis and we may modify, suspend, or discontinue any feature at any time under Section 15.
3. Subscription, Billing, and Tokens
3.1 Plans. The Service is offered under free and paid plans. Current pricing, token allotments, and feature availability are posted on our website or in the Service and may change at our discretion with notice.
3.2 Payment Processor. Paid plans are billed through Stripe. By providing payment information, you authorize Bizangle and Stripe to charge the payment method on file for all fees incurred. Stripe's Services Agreement and Privacy Policy govern its handling of your payment data.
3.3 Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless you cancel before the renewal date. You may cancel at any time through the Service's billing portal; cancellation takes effect at the end of the current billing period.
3.4 Tokens and Usage. Certain Service features (voice minutes, SMS, AI queries, avatars) are metered and consume tokens. Unused tokens may expire as set forth in your plan. We may suspend or limit access if your balance is insufficient.
3.5 Taxes. Fees are exclusive of applicable taxes, which are your responsibility.
3.6 Refunds. Except where required by law, all fees are non-refundable. Bizangle may, at its sole discretion, issue prorated refunds for service outages or billing errors.
3.7 Disputed Charges. You must notify us of any billing dispute within 30 days of the charge, or you waive the right to dispute it.
4. Acceptable Use and Compliance
4.1 Acceptable Use Policy. Your use of the Service is governed by our Acceptable Use Policy, which is incorporated by reference. Violation of the AUP is a material breach of these Terms.
4.2 TCPA and Telemarketing Compliance. The Service includes outbound calling and SMS functionality. You are solely responsible for compliance with all applicable telecommunications laws, including the U.S. Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, the CAN-SPAM Act, FCC regulations, state telemarketing statutes, Do-Not-Call registries, and equivalent laws outside the United States. You represent and warrant that you have obtained all legally required consents from recipients before using the Service to place calls or send messages.
4.3 Lawful Content. You will not use the Service to transmit content that is unlawful, defamatory, harassing, threatening, fraudulent, infringing, obscene, or otherwise objectionable.
4.4 Technical Compliance. You will not reverse engineer, decompile, probe, or attempt to bypass any security or rate limit of the Service; introduce malware or disruptive code; scrape or harvest data; or resell the Service without authorization.
4.5 Suspension. We may suspend or terminate your access immediately and without prior notice if we reasonably believe you have violated this Section or the AUP.
5. User Content
5.1 Definition. "User Content" means any content you or your end users submit to, upload to, or generate via the Service, including voice recordings, transcripts, SMS bodies, emails, contact lists, uploaded documents, website content crawled at your direction, business context, and any AI-agent outputs triggered by your use.
5.2 Ownership. You retain all rights you have in your User Content. We do not claim ownership.
5.3 License to Bizangle. You grant Bizangle, its parent Phatlinks, and their affiliates a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt, transmit, display, and use your User Content solely as necessary to: (a) provide, maintain, secure, and improve the Service; (b) comply with legal obligations; (c) enforce these Terms; and (d) generate aggregated or de-identified data that does not identify you or any individual.
5.4 Call Recording Consent. You acknowledge that some U.S. states and other jurisdictions require all-party consent to record phone calls. You are solely responsible for complying with call-recording laws that apply to your calls and for providing any notices or obtaining any consents required.
5.5 Third-Party Data. If you upload or otherwise submit information about third parties (including contacts, customer records, or recordings of their communications), you represent and warrant that you have the legal right to do so and to allow our processing of that data as described in our Privacy Policy.
5.6 Removal. We may remove or refuse to host User Content that we believe violates these Terms or applicable law, without prior notice.
6. Intellectual Property
6.1 Our IP. The Service, including all software, user interfaces, trademarks, logos, text, graphics, audio, video, the name "Bizangle," the name "Phatlinks," and all related marks and designs, is owned by Bizangle, Phatlinks, or our licensors and is protected by United States and international intellectual property laws. Except for the limited license in Section 6.2, no rights are granted to you.
6.2 License to You. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal use.
6.3 Feedback. If you submit feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.
7. AI Output and Informational Disclaimer
7.1 AI-Generated Output. The Service uses large language models and other AI systems that may produce inaccurate, incomplete, biased, or offensive content. AI output is probabilistic, not deterministic, and should not be relied on for legal, medical, financial, safety-critical, or professional decisions.
7.2 Your Review Required. You are responsible for reviewing, validating, and editing AI output before using it for any consequential purpose (including customer communications, appointments, and business decisions).
7.3 No Professional Advice. Nothing produced by the Service constitutes legal, medical, financial, tax, or other professional advice.
8. Third-Party Services
The Service integrates with third-party platforms, including Stripe, Google, ElevenLabs, Groq, VoIP.ms, Apple, and others. Your use of those platforms is governed by their respective terms and privacy policies, not these Terms. Bizangle is not responsible for third-party services or any loss or damage arising from them. If a third-party service becomes unavailable or materially changes its terms, we may modify, degrade, or remove the corresponding feature.
9. Privacy
Our collection, use, and disclosure of personal information is described in our Privacy Policy.
10. Indemnification
You agree to defend, indemnify, and hold harmless Bizangle, Phatlinks, and their respective parents, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers (collectively, the "Bizangle Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
(a) your access to or use of the Service;
(b) your User Content, including claims that your User Content infringes, misappropriates, or violates any third party's rights or any law or regulation;
(c) your violation of these Terms, the Acceptable Use Policy, the Privacy Policy, or any applicable law (including without limitation the TCPA, CAN-SPAM, GDPR, CCPA/CPRA, HIPAA, state wiretap and call-recording laws, and FCC regulations);
(d) your infringement of any intellectual property, privacy, publicity, or other right of any person or entity;
(e) any dispute between you and any third party, including call recipients, SMS recipients, customers, employees, contractors, or end users;
(f) your negligence, willful misconduct, or fraud; and
(g) any unauthorized access to or use of your account resulting from your failure to safeguard your credentials.
Bizangle reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with Bizangle in asserting any available defenses. You will not settle any matter subject to indemnification without Bizangle's prior written consent. This indemnification obligation survives termination of these Terms.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZANGLE AND THE BIZANGLE PARTIES DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE; OR THAT ANY CONTENT WILL BE PRESERVED OR DELIVERED. CALLS OR MESSAGES MAY BE DELAYED, MISROUTED, OR DROPPED DUE TO FACTORS OUTSIDE OUR CONTROL, INCLUDING CARRIER, NETWORK, AND THIRD-PARTY OUTAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 Excluded Damages. IN NO EVENT WILL BIZANGLE OR ANY OF THE BIZANGLE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT BIZANGLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Cap. THE AGGREGATE LIABILITY OF BIZANGLE AND THE BIZANGLE PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS (US$100) OR (b) THE TOTAL AMOUNTS PAID BY YOU TO BIZANGLE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12.3 Basis of the Bargain. YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BARGAIN AND THAT BIZANGLE WOULD NOT PROVIDE THE SERVICE WITHOUT THEM.
12.4 Jurisdictional Limits. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not fully apply to you.
13. Term and Termination
13.1 Term. These Terms take effect when you first access the Service and continue until terminated.
13.2 Termination by You. You may terminate your account at any time through the Service's account settings or by emailing support@bizangle.com.
13.3 Termination by Us. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, the AUP, or applicable law; if we are required to do so by law or by a third-party provider we rely on; or if providing the Service to you becomes commercially impracticable.
13.4 Effect of Termination. Upon termination, your right to use the Service ends, and we may delete your User Content after a commercially reasonable period. Sections that by their nature should survive termination (including Sections 5.3, 6, 10, 11, 12, 17, 18, and 20) will survive.
14. Changes to the Service
We may, at any time and without liability, add, modify, or remove features, change minimum system requirements, suspend portions of the Service for maintenance, or discontinue the Service in whole or in part. We will use commercially reasonable efforts to notify you of material adverse changes in advance.
15. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be communicated in the Service or via email at least seven (7) days before they take effect (except where immediate changes are required by law or necessary to protect the Service or users). Your continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
16. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets. Any attempted assignment in violation of this Section is void.
17. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, and, to the extent applicable, by U.S. federal law. Subject to the arbitration provisions in Section 18, the exclusive venue for any judicial action not subject to arbitration is the state and federal courts located in Sarasota County, Florida, and you consent to the personal jurisdiction of those courts.
18. Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Agreement to Arbitrate. Except for the carve-outs in Section 18.6, you and Bizangle agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Bizangle (a "Dispute") will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or the Commercial Arbitration Rules, if applicable).
18.2 Informal Resolution First. Before initiating arbitration, you agree to contact us at support@bizangle.com with a written description of the Dispute and allow 60 days for good-faith resolution.
18.3 Arbitration Procedure. Arbitration will be conducted by a single arbitrator. The seat of arbitration will be Sarasota County, Florida, though you may elect to participate remotely. For claims of US$10,000 or less, the arbitration may be conducted by telephone or on written submissions.
18.4 Class-Action and Jury-Trial Waiver. YOU AND BIZANGLE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
18.5 Authority. The arbitrator has exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court, not the arbitrator, will decide whether Section 18.4 is enforceable.
18.6 Carve-Outs. Either party may: (a) bring an individual action in small-claims court for Disputes within that court's jurisdiction; and (b) seek injunctive or equitable relief in court to protect intellectual property rights or address unauthorized use of the Service.
18.7 Fees. Filing fees will be allocated as provided by the AAA's rules.
18.8 Opt-Out. You may opt out of this Section 18 by sending written notice to support@bizangle.com within 30 days of first accepting these Terms, stating your intent to opt out and including your account email. Opting out does not affect any other part of these Terms.
18.9 Survival. This Section 18 survives termination of these Terms.
19. U.S. Federal and State-Specific Disclosures
19.1 California Users. Under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834 or (800) 952-5210.
19.2 Export Controls. The Service may be subject to U.S. export-control laws. You represent that you are not located in, and are not a national or resident of, any country subject to U.S. embargo, and that you are not on any U.S. government list of prohibited or restricted parties.
19.3 Federal Government Users. The Service is "commercial computer software" as that term is defined in FAR 2.101 and DFARS 252.227-7014. Government use is subject to these Terms.
20. General
20.1 Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any order forms or plan documents referenced here, constitute the entire agreement between you and Bizangle regarding the Service and supersede all prior agreements.
20.2 No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
20.3 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with an enforceable provision that most closely expresses the intent of the original.
20.4 Force Majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, government action, carrier outages, internet or cloud-service failures, or acts or omissions of third-party providers.
20.5 Notices. Notices to you may be sent to the email on file for your account or posted in the Service. Notices to Bizangle must be sent to Bizangle, LLC, 1343 Main Street, Suite 705, Sarasota, FL 34236, with a copy to support@bizangle.com.
20.6 Relationship. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Bizangle.
20.7 Headings. Headings are for convenience only and do not affect interpretation.
